Terms of Service

These Terms of Service ("Terms") govern your use of the website nrdigitalllc.com (the "Site") and your purchase of services from NR Digital LLC ("we," "us," or "our"). By using the Site or purchasing our services, you agree to these Terms.

1. Services

We operate online products — including the CyberTemp temporary email service (cybertemp.xyz) and proxy services such as VaultProxies (vaultproxies.net) — and provide freelance web and software development services. Product subscriptions purchased on a product's own website are also governed by any terms posted on that site; if those conflict with these Terms, the product-specific terms control for that product. For freelance work, the scope, deliverables, timeline, and price are defined in a written quote, proposal, or invoice provided before work begins.

2. Quotes, payment, and billing

• All prices are quoted in U.S. dollars.
• One-time projects are typically billed 50% up front and 50% on completion, unless otherwise agreed in writing.
• Subscriptions and recurring services (such as product subscriptions, hosting, or maintenance) are billed at the start of each billing cycle and continue until canceled.
• Payments are processed securely by third-party payment processors such as Stripe. We do not store your full payment card details.
• Invoices are due upon receipt unless other terms are stated on the invoice. We may pause work on accounts with overdue balances.

3. Client responsibilities

You agree to provide the materials, information, and approvals reasonably needed to complete the work (such as text, images, logins, and timely feedback). You are responsible for ensuring that any content you supply does not infringe the rights of others.

4. Intellectual property

Upon full payment, the final deliverables we create specifically for you (such as your website design, logo, and content we author for you) become your property. We retain the right to display completed work in our portfolio unless you request otherwise in writing. Third-party materials (such as licensed fonts, stock images, or software) remain subject to their own license terms.

5. Cancellations and refunds

Cancellation and refund terms are described in our Refund Policy, which is incorporated into these Terms.

6. Warranties and disclaimers

We will perform our services in a professional and workmanlike manner. Except as expressly stated, the Site and our services are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, such as search rankings, traffic levels, or revenue.

7. Limitation of liability

To the maximum extent permitted by law, NR Digital LLC's total liability arising out of or related to any engagement is limited to the amount you paid us for the specific service giving rise to the claim during the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost data.

8. Termination

Either party may end an ongoing engagement with written notice as described in the applicable quote or our Refund Policy. Sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, and limitation of liability) will survive.

9. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-law rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in Bernalillo County, New Mexico.

10. Changes to these Terms

We may update these Terms from time to time. The "Effective date" above reflects the most recent revision. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
